This Shipper Agreement (“Agreement”) is entered into between OSEAS (“OSEAS”, “Platform”, “we”, “us”) and the entity or individual registering as a shipper on the Platform (“Shipper”, “you”).

By creating an account, posting a load, or using the Platform, you agree to be bound by this Agreement.

1 . Role of the Platform

1.1 OSEAS operates an online marketplace that facilitates the introduction of shippers and independent carriers for the transport of goods.
1.2 OSEAS is not a carrier, freight forwarder, broker, or bailee, and does not take possession of goods at any time.
1.3 Any transport contract is formed directly between the Shipper and the selected Carrier.

2 . Shipper Eligibility & Account Registration

2.1 Registration is free.
2.2 You must provide accurate and current business and contact details.
2.3 You warrant that you have authority to enter into this Agreement.
2.4 You are responsible for maintaining the confidentiality of your account credentials.

3 . Posting Loads & Shipment Information

3.1 You are solely responsible for ensuring all shipment details are accurate, complete, and lawful, including:

  • Pickup and delivery addresses
  • Nature, weight, dimensions, and value of goods
  • Special handling requirements

3.2 You must not post prohibited, dangerous, or unlawful goods unless clearly disclosed and legally permitted

4 . Quotes, Carrier Selection & Booking

4.1 Carriers may submit quotes in response to a posted load.
4.2 You are responsible for reviewing and selecting a Carrier.
4.3 Once a quote is accepted, a binding transport agreement is formed between you and the Carrier.

5 . Payments

5.1 Shipper Platform Fee
You agree to pay OSEAS a platform fee equal to 2.5% of the accepted quote, payable once the load is assigned to a Carrier.

5.2 Payment to Carrier
Payment to the Carrier is made through the Platform via Stripe or another nominated payment processor.

5.3 OSEAS will deduct its platform fee from the payment before releasing funds to the Carrier.

6 . Cancellations

6.1 Shipper cancellations are subject to the Cancellation Policy published on the Platform and incorporated by reference.
6.2 Fees may be non-refundable once a Carrier has accepted a load, except where required by law.

7 . Refunds

7.1 Refunds are governed by the Refund Policy, which complies with the Australian Consumer Law.
7.2 As OSEAS is not the transport provider, refunds relating to service performance may require Carrier involvement.

8 . Insurance & Risk

8.1 You acknowledge that Carriers are responsible for maintaining required transport and goods-in-transit insurance.
8.2 You are responsible for determining whether additional insurance is required for your shipment.
8.3 Risk of loss or damage is governed by the transport agreement between you and the Carrier.

9 . Shipper Obligations

You agree to:

  • Comply with all applicable laws and regulations
  • Provide accurate shipment details
  • Not misuse the Platform
  • Act in good faith with Carriers and OSEAS

10 . Limitation of Liability

10.1 To the maximum extent permitted by law, OSEAS is not liable for:

  • Loss or damage to goods
  • Carrier performance or non-performance
  • Delays, cancellations, or disputes between Shipper and Carrier

10.2 OSEAS’s liability is limited to resupplying the Platform services or the cost of doing so.

11 . Indemnity

You indemnify OSEAS against any claims, losses, or liabilities arising from:

  • Inaccurate shipment information
  • Breach of this Agreement
  • Goods transported via the Platform

12 . Privacy

12.1 Personal information is handled in accordance with the OSEAS Privacy Policy.
12.2 Payment information is processed securely by third-party providers such as Stripe.

13 . Termination

13.1 OSEAS may suspend or terminate your account for breach, misuse, or legal risk.
13.2 Termination does not affect accrued rights or obligations.

14 . Governing Law

This Agreement is governed by the laws of Australia, and the courts of the relevant State or Territory have exclusive jurisdiction.

15 . Acceptance

By registering or using the Platform, you confirm that you have read, understood, and agree to this Shipper Agreement.
